	Welcome to Simply-Bid  the online auction 'lowest unique bid' site. This document (together with the  other documents referred to in it) contains the terms and conditions on which Simply-Bid  ('we', 'us') contract with you via our website www.simply-bid.com and any sub-domains thereof (our site). Please read these terms and conditions  carefully before taking part in any auctions via our site.
These terms and  conditions apply to any contract between you and us to the exclusion of any  terms and conditions that you may seek to impose or incorporate. These terms  and conditions constitute the entire agreement between the parties.
By using our site,  you indicate that you accept these terms of use and that you agree to abide by  them. If you do not agree to these terms  of use, please refrain from using our site.
You should print a  copy of these terms and conditions for future reference. We particularly draw your attention to clause 8 (Our Liability).
Please click on the button marked "I Accept" at the end of these terms and conditions if  you accept them. If you refuse to accept these terms and conditions, you will  not be able to register or take part in any auctions on our site.

  right to participate and disqualification
    
      By placing a bid on  our site, you warrant that:
        
          you are legally capable of entering into binding contracts;
          you are at least 18 years old; 
          you hold a current debit/credit card issued in the UK;
          you are permanently resident in the UK;  and
           you are accessing our site from the UK.
          
        
        You hereby agree to fully indemnify and  keep us fully indemnified against any losses or costs we or you may incur if  any of the warranties above prove to be untrue.
    
      You are free to browse our site prior to  registration. However, before you can take part in a bid you must register on  our site. Registration is free of charge. Following registration you are free  to continue to browse our site and there is no commitment to place a bid.
      At registration you must provide the following  details:
        
          a valid UK  posting address matching the address stated on your debit/credit card to be used  to place your bid;
          a  valid email address; and
          a  valid UK  telephone number (landline or mobile).
        
      
      We reserve the right to verify your identity  as a user of our site. If we are unable to verify or authenticate your identity  using reasonable endeavours, then we may request that you provide proof of  identity, proof of address and other documentation as we require.
      Neither our employees nor their relatives are  eligible to participate in the bidding under any circumstances.
      During the registration process you must  choose a user name and the user name must not offend common decency or infringe  upon the rights of third parties. The user name must not advertise other  websites. We reserve the right to change or delete a user name if we consider  it to be inappropriate or in breach of these terms and conditions. You must  keep your account password secret and you will be deemed responsible and liable  for all activities that are undertaken using the user account together with the  associated password.
      Accounts are non-transferrable. Any abuse of  the user account will result in the termination of your account and your  disqualification from any future re-registration on our site. We may at any  time, exercise our sole discretion to suspend or permanently exclude you from  our site and its services. We will decide upon such expulsion if and in so far  as, in our reasonable opinion, you have breached these terms and conditions,  violated any laws or infringed upon the rights of third parties, or we have another  justified interest in such for the protection of other users or to prevent  manipulation of any kind, for example if unauthorised bidding software is used,  users colluding or several user accounts are set up by you.
      We reserve the right to disqualify you and/or your  bid(s) if we deem that you have used unfair means to win an auction. This  includes but is not limited to collusion bidding where family members from the  same house/address or relatives from another house/address bid on the same  auction item or items. If we disqualify you, we will not be liable to return  any bid fees paid (or other associated costs such as credit card charges). This  is to protect the rights of our users and us.
      You may at any time request the cancellation  of your account by sending an email to pleasehelpme@simply-bid.com 
      We reserve the right in our sole discretion to  limit the number of auctions in which you may participate and the number of  auctions that you may win per month.
      We  encourage you to monitor and evaluate your bidding behaviour and your frequency  of use of our site on a regular basis. When purchasing bids on our site you may  incur significant. Please bid responsibly.
    
  
  the bidding process
    
      Following successful registration on our site you may take  part in any of the auctions on our site subject to any restrictions referred to  in these terms and conditions or any special restriction listed from time to time  within the relevant auction itself. 
      In order to place a bid you will select the  reverse auction price of your choice from the prices available, enter your bid  amount (which should reflect what you think is the lowest unique bid) and click  on the box marked 'pay bid fee'. The bid fees will vary according to the RRP of  the item that you are bidding for and will be clearly displayed on each  individual auction page. Payment of the bid fee may be made by debit or credit  card. Payment made by credit card will carry a charge of 2.16% ("Credit Card Charge") (or such  other percentage as is displayed from time to time on our site). Should your  payment not be honoured we will charge a returned payment fee. You shall be  responsible for these fees. We reserve the right to suspend your account until  payment in full of the invoice amount, including any additional fees is received.  We further reserve the right to withhold any outstanding deliveries until payment  is made in full. You can review your account when bids have been placed. Once a  bid is made it cannot be withdrawn.
      All bids are sealed bids and will only be made  public following "lockdown" (as defined in clause 3.7). The results  will normally appear on our site within 72 hours of lockdown. We will disclose  the surname and town of residence of each winning bidder on our site (e.g. Mrs  Jones, hometown).
      Winning bidders of certain auctions such as  those involving high RRP items may be requested to take part in handover and  promotional activities that may include pictures/videos being made and used for  our own promotional activities.
      We do not accept responsibility for direct or  indirect damages or consequential losses suffered by use of fraudulent or  unauthorised debit or credit cards and we exclude liability for the same to the  fullest extent possible by law.
      Bids only become valid when they are entered  into our database and registered into the system. We are not responsible for  disruptions in your connection and any errors that might occur because of this.  This includes but is not limited to, non browser response from your pc or  connection blips, outdated software on your computer and/or any connection  interference between your computer and our servers. Your attention is also  drawn to clause 12.
      Once  the pre-determined maximum number of bids ("Bid Threshold") for the  relevant item has been reached or a period of 56 days has passed (whichever is  sooner) the auction will automatically close (known on the site as 'lockdown').  The bidder with the lowest unique bid will win the auction and receive notification  of their win ("Win Notice") by either email or text.
        What is a lowest unique bid? 
        1p, 1p, 2p, 2p, 3p,  4p, 4p, 5p. 
        In the example above 3p is the lowest unique bid with  only person having placed that bid. 1p, 2p and 4p are not unique because more  than one bid has been placed on them. 5p is unique but it is not the lowest. 
        If there is no lowest unique bid the prize will be  offered to the first bidder in the group of the lowest bid with the fewest  number of bidders. 
        1p, 1p, 1p, 3p, 3p, and 5p, 5p. 
        In the example above 3p is the group with the lowest bid and with the fewest number of bidders (i.e. 2 bidders) and the person  who placed the first bid of 3p will be the winning bidder. 1p is the lowest bid  but the group does not contain the fewest number of bidders (i.e. there  are 3 bidders). The 5p group also has two bidders but is not the lowest bid.
        The first bidder will be determined by the time at which  the bid was entered into our database and registered into our system. Our  decision as to who is the first bidder is final. 
      If the  Bid Threshold is not reached within 56 days of the auction commencing we may at  our discretion where the number of bids is equal to or more than 75% of the Bid  Threshold (or such other percentage as we in our absolute discretion deem  appropriate) either (a) award the item to the bidder with the lowest unique bid  at that point; or (b) where there is no unique lowest bid, offer the item to  the first placed lowest bid with the fewest amount of bids as explained above  (e.g. the first bid placed on the lowest amount with only 2 bids); Where the  number of bids is less than 75% of the Bid Threshold we may at our discretion  either (a) award a cash prize equivalent to 50% of the bid fees received for  the auction in question ("Cash  Prize") to the bidder with the lowest unique bid at that point; or (b)  where there is no unique lowest bid, offer the Cash Prize to the first placed  lowest bid with the fewest amount of bids as explained above (e.g. the first  bid placed on the lowest amount with only 2 bids.
      The  winning bidder will be requested to respond to the Win Notice within 14 days of  the date of the Win Notice to confirm acceptance of their prize ("Acceptance Notice"). The winning  bidder will not be required to pay any further sums upon winning the auction  including the winning figure that represents the lowest unique bid. There is no  cash alternative available. If you choose not to accept the prize or if you do  not respond with an Acceptance Notice within the stated timescale ("Deemed Acceptance Notice") it will  be offered to the next lowest unique bid.
      All  unsuccessful bidders will receive a notification email or text message to this  effect and by registering with our site you consent to receiving such  notifications.
      As soon as one  auction is completed another auction will commence. We will use reasonable  endeavours to ensure that there will be a minimum of 10 auctions running at any  one time. We reserve the right to change the start date and time of auctions to  avoid server congestion. 
    
  
  delivery
    
      We  will endeavour to dispatch via tracked courier the item to the winning user  within 28 days of the date of the Acceptance Notice or Deemed Acceptance  Notice. Time of the delivery shall not be of the essence. If we anticipate any  delays in dispatch we will notify the winning bidder and keep them informed of  timing issues. Delivery costs will be paid by us. We will not be liable for any  loss or damage sustained by you in consequence of any failure by us to deliver  within any estimated timescale or in consequence of any other delay to delivery  howsoever caused. 
    
  
  Risk and title 
    
      Risk  and title in the item shall pass to the winning bidder from the time of dispatch. 
    
  
  refunds / cancellation 
    
      As a winning bidder  you may return items won at auction to us if you notify us by sending an email  to pleasehelpme@simply-bid.com within 7 days of  receipt of the item you wish to return. 
      You must return the item to us as soon as  reasonably practicable. You have a legal obligation to take reasonable care of  the item while it is in your possession. If you fail to comply with this  obligation, we may have a right of action against you for compensation.
      Details of your statutory right of  cancellation, and an explanation of how to exercise it, are provided in the remainder  of this clause 6 and clause 7 (Guarantee and Returns) below. This provision does  not affect your other statutory rights as a consumer.
       If you return an item to us:
        
          because you have cancelled  the contract between us within the 7-day cooling-off period referred to in the  paragraph above, we will process the refund due to you as soon as possible and,  in any case, within 30 days of the day on which you gave us notice of  cancellation. In this case, we will refund the winning bid fee for that auction  less any Credit Card Charge and any returned payment charge but the cost of returning  the item lies with the winning bidder; or
          for any other reason (including  notifying us in accordance with clause 19.2 or because you consider that the  item is defective), we will examine the returned item and will notify you of  your refund via e-mail within a reasonable period of time. We will usually  process the refund due to you as soon as possible and, in any case, within  30 days of the day we confirmed to you via e-mail that you were entitled  to a refund. We will refund the winning bid fee for that auction less any  Credit Card Charge relating to any defective item in full.
        
      We  will usually refund the winning bid fee received from you using the same method  originally used by you to pay for your bid(s), however we reserve the right to  pay any refund by any reasonable method. 
    
  
  guarantee and returns 
    
      All auction items are  brand new, manufacturer's sealed and accompanied by a manufacturer's warranty.  No item packages will be opened prior to dispatching to you even if requested.  We will provide customer support on any issues or queries that may arise following  your receipt of an item.
      We make no  representation or warranty that any item is suitable for any particular  purpose, whether stated or not. All other warranties or conditions (whether  express or implied) as to quality, condition or description (whether statutory  or otherwise) are excluded to the fullest extent permitted by law.
      All item descriptions,  images or advertising materials ("Item  Information") in relation to any item forming the subject of an  auction are produced for the sole purpose of giving an approximate idea of the  item described therein. We will use all reasonable efforts to ensure the  description is materially accurate, but no Item Information shall form part of  the contract.
      You have the right to  return faulty items within a reasonable period of time. You must keep all the  manufacturer's warranty information that accompanies the item as this may be  needed should there be a fault. In the unlikely event that you receive a faulty  item, you may find it easier and quicker to contact the manufacturer directly  so that they can rectify the problem.
      If you choose to  return an item to us, please email pleasehelpme@simply-bid.com (within 7 days of  receipt of the item).
      If you find that we  have sent you an incorrect item, please contact us at the above email address.  We will then contact you with instructions on how to return the item. If our  instructions are followed there will be no charge for the return. We will send  you the replacement as soon as the original item is received by us in its  original packaging and in unused condition or as soon thereafter as is  reasonable practicable.
      You must return the  original item to us within 30 days of our email confirming the issue of the  replacement item. We reserve the right to cancel the issue of a replacement.
    
  
  Our  liability 
    
      We do not warrant  that our site will be free from errors or uninterrupted. Subject to clause 8.3 our  services are distributed on an 'as is' basis without warranties of any kind,  either express or implied. We will not be responsible for any losses, damages  or costs that you may suffer when using our site. You agree to indemnify and  hold us harmless from any claims resulting from the use of our site. You  expressly agree that the use of our site is at your sole risk. Neither we nor  our service providers, agents, licensors or employees shall have liability for any  damages suffered by you or any other party as a result of the use or misuse of  our site.We  shall not be liable for faulty operation of your computer during bid submission  and for incorrect or slow transmission of bidding data by internet providers.  Should such an event occur, you shall have no legal right to the  purchase/receipt of the item.
      Subject to clause 8.3, we will not be liable for losses that  result from our failure to comply with these terms and conditions that fall  into the following categories: loss of  income or revenue; loss of business; loss of profits; loss of anticipated  savings; loss of data; or waste of management or office time.      
      Nothing in this  agreement excludes or limits our liability for: death or personal injury caused by our negligence; fraud or fraudulent  misrepresentation; any breach of the obligations implied by section 12 of the  Sale of Goods Act 1979; defective products under the Consumer Protection Act  1987; or any other matter for which it would be illegal for us to exclude or  attempt to exclude our liability.
      Insofar as we are  insured for our liability for any damage, we can in our sole discretion assign  any entitlement to insurance settlement to you. You shall be obligated to  accept this assignment in full and final settlement.
      All attempts will be  made to ensure that our site is functional but at times we may be testing due  to relocation or upgrading. If this is the case, then all bids are null and  void and any bids paid will be refunded.
      Our total liability to you in respect of any losses  arising under or in connection with any contract between us and you whether in  i) contract; ii) tort (including negligence); iii) breach of statutory duty;  iv) otherwise, shall not exceed the net price paid by you for the item (net of  Credit Card Charges or returned payment fees).
    
  
  Written  communications 
    
      Applicable laws  require that some of the information or communications we send to you should be  in writing. When using our site, you accept that communication with us will be  mainly electronic. We will contact you by e-mail or provide you with information  by posting notices on our site. For contractual purposes, you agree to this  electronic means of communication and you acknowledge that all contracts,  notices, information and other communications that we provide to you  electronically comply with any legal requirement that such communications be in  writing. This condition does not affect your statutory rights.
    
  
  Notices 
    
      You may give notice  to us at either the registered office stated in clause 1 or by emailing us at pleasehelpme@simply-bid.com . We may give notice  to you at either the e-mail or postal address you provide to us when placing an  order, or in any of the ways specified in clause 9  above. You will be deemed to have received notice when posted on our site, one hour  after an e-mail is sent, or 48 hours after the date of posting any letter. In  proving the service of any notice on you, it will be sufficient to prove, in  the case of an e-mail that such e-mail was sent to the specified e-mail address  of the addressee. Any notice given by you to us must be given to us by recorded  first class post to the registered office address stated in clause 1, or by  email to pleasehelpme@simply-bid.com . We will be deemed  to have received notice only at the time of actual receipt.
    
  
  Transfer  of rights and obligations 
    
      You may not assign,  transfer, change, subcontract or deal with in any other manner your rights or  obligations hereunder in whole or in part to any third party. A person who is  not a party to any contract between you and us shall not have any rights  arising under or in connection with these terms and conditions.
    
  
  Events  outside our control 
    
      We will not be liable  or responsible for any failure to perform, or delay in performance of, any of  our obligations under a contract that is caused by events outside our  reasonable control ("Force Majeure Event").
      A Force Majeure Event  includes any act, event, non-happening, omission or accident beyond our  reasonable control and includes in particular (without limitation) strikes,  lock-outs or other industrial action; civil commotion, riot, invasion,  terrorist attack or threat of terrorist attack, war (whether declared or not)  or threat or preparation for war; fire, explosion, storm, flood, earthquake,  subsidence, epidemic or other natural disaster; impossibility of the use of  railways, shipping, aircraft, motor transport or other means of public or  private transport; impossibility of the use of public or private telecommunications  networks; the acts, decrees, legislation, regulations or restrictions of any  government; and technical, operational or server problems.
      Our performance under  any contract is deemed to be suspended for the period that the Force Majeure  Event continues, and we will have an extension of time for performance for the  duration of that period. We will use our reasonable endeavours to bring the  Force Majeure Event to a close or to find a solution by which our obligations  under the Contract may be performed despite the Force Majeure Event.
      In accordance with  clause 12.2 above we cannot guarantee continuous access to our site, and  operations of our site may be interfered with by factors outside of our  control. While we will use our reasonable endeavours to maintain an uninterrupted  service, we cannot guarantee this and do not give any promises or warranties  (whether express or implied) about the availability of our services. In the  event of a technical problem (third party of other) affecting our site's  auction platform, the countdown timers for all (or some) live auctions will be  paused until the issue has been resolved. Auctions will continue once the  system is brought back up. Should auctions close prematurely due to any  technical problem, affected auctions may be restarted. The auctions' countdown  timers will be continued from the same point in time they were prior to the  technical problem.      
      Alternatively we reserve the right to restart  all auctions from the beginning, once the technical problem has been rectified.
      We may attempt to return purchased bids placed  on the auctions that had to be paused and then restarted from the beginning due  to a third party technical problem.
      Should we suspect that an unlawful action(s)  against its terms and conditions brought the service down; we have the right to investigate the matter and take legal action against perpetrators.

      You agree not to link any third party  website(s) to any part of our site by way of hyperlink or otherwise without our  prior written consent. If written consent is provided by us you may link to our home page, provided you do so in a way  that is fair and legal and does not damage our reputation or take advantage of  it, but you must not establish a link in such a way as to suggest any form of  association, approval or endorsement on our part where none exists.
      You must not establish a link from any website  that is not owned by you.
      Our site must not be framed on any other site,  nor may you create a link to any part of our site other than the home page. We reserve the right to withdraw linking permission without notice. The website  from which you are linking must comply in all respects with the content  standards set out in our acceptable use policy.

      We are the sole owner  of the information collected on our site. Unless required to do so by law, we  will not share, sell or distribute any of the information you provide to us  without your consent.
      Your personal  information may be passed on to third parties only if this is necessary to  process a payment transaction or a business transaction with our partners.  Above mentioned third parties are always reputable businesses that strictly  comply with applicable data protection regulations.
      
      We may collect  information about your computer, including where available your IP address,  operating system and browser type, for system administration and to report  aggregate information to our advertisers. This is statistical data about our  users' browsing actions and patterns, and does not identify any individual.
      For the same reason,  we may obtain information about your general internet usage by using a cookie  file which is stored on your browser or the hard drive of your computer.  Cookies contain information that is transferred to your computer's hard rive.  They help us to improve our site and to deliver a better and more personalised  service. Some of the cookies we use are essential for the site to operate.

  Waiver 
    
      If we fail, at any  time during the term of a contract, to insist upon strict performance of any of  your obligations under the contract or any of these terms and conditions, or if  we fail to exercise any of the rights or remedies to which we are entitled  under the contract, this will not constitute a waiver of such rights or  remedies and will not relieve you from compliance with such obligations.
      A waiver by us of any  default will not constitute a waiver of any subsequent default.
      No waiver by us of  any of these terms and conditions will be effective unless it is expressly  stated to be a waiver and is communicated to you in writing in accordance with  clause 10  above.
    
  
  Severability 
    
      If any of these terms  and conditions or any provisions of a contract are determined by any competent  authority to be invalid, unlawful or unenforceable to any extent, such term,  condition or provision will to that extent be severed from the remaining terms,  conditions and provisions which will continue to be valid to the fullest extent  permitted by law.
      Notwithstanding the  above paragraph the remaining clauses must reflect the original intention and  spirit of the parties.
      
    
  
  Entire  agreement 
    
      These terms and  conditions and any document expressly referred to in them constitute the whole  agreement between us and you and supersede all previous discussions,  correspondence, negotiations, previous arrangement, understanding or agreement  between us relating to the subject matter of any contract.
      Each of us agrees  that our only liability in respect of those representations and warranties that  are set out in this agreement (whether made innocently or negligently) will be  for breach of contract.
      Nothing in this  clause limits or excludes any liability for fraud.
    
  
  Our  right to vary these terms and conditions 
    
      We reserve the right  to revise and amend these terms and conditions from time to time without notice  for any reason. Any revisions will be published on our site with reasonable  prominence.
      You will be subject  to the policies and terms and conditions in force at the time that you place a  bid(s) with us, unless any change to those policies or these terms and  conditions is required to be made by law or governmental authority (in which  case it will apply to bids previously placed by you), or if we notify you of  the change to those policies or these terms and conditions before we send you  the dispatch confirmation (in which case we have the right to assume that you  have accepted the change to the terms and conditions, unless you notify us to  the contrary within five working days of receipt by you of the item).
    
  
  Law  and jurisdiction 
    
      Any contract between  you and us and any dispute or claim arising out of such contract or these terms  and conditions shall be governed by and construed according to English law and  the parties irrevocably submit to the exclusive jurisdiction of the English  courts.
